Rad ran one of the funds through a regulation a+ offering (full disclosure this is same exemption I use) - these exemptions allow you to raise from both accredited and non accredited - so easier to advertise on FB, google etc.

If it is more than one investor and pooling funds and deals then that is a completely different animal where you would file for a SEC exemption through a form D then ahve to file with each state the investors are in and have a subscription agreement and other docs drafted.

The way I see it, the positives are that the municipality takes the burden of finding the tenant, rental agreement with the municipality is for are for at least five years (this might be a negative for some) and you'll be exempt from both property and capital gains taxes.
