Thank you. Should the monies the property owner defers count the same as cash investors, as far as percentage ownership? Should it be more or less?

I am going to re-develop 3 buildings in the Atlanta area and the property owner wants to be involved in the LLC that develops the building. How should I structure the memberships? He wants to carry back a portion of the sales price as his shares. What is the best way so as to limit his involvement in day to day decisions? I need him carrying some of the purchase price to get the best funding deal.
