Thank you for the feedback, Frank. From my understanding, we have no issues if they are considered active. We only are looking for 1 or 2 investors. We also are not guaranteeing anything. I will have my legal people look at it but I believe we are covered under regulation D. See the link below.

Hello Everyone, 

I have been doing residential mortgage loans for 20+ year and doing wholeselling strongly for the last 2 years. I just came up on a 20 unit deal. 

5 buildings 

4 units 

2beds 

1bath 

 700 sqft per unit. 

The seller is looking to sell this as a package deal (all buildings at once) and is open to do seller financing. I have some questions on how to structure the deal to sell it.  I have sent the LOI and the seller has given me the terms he wants so how do I close this? I have a couple of buyers interested but may have to have them partner to make the deal work. Also they are residential properties and not commercial.
