Congrats on your success the past year. As founder & Prez of US Equities CORP, I/we are still in the search for new investors for commercial real estate. Our primary objective is to acquire via long term lease a distressed commercial office building with multiple tenant potential. USEC is incorporated in DE and CA, with FL to be included ASAP. This is a 10-year program, initially.

Unfortunately the attorneys are on the fence, but I'm opposed to LLC primarily because keeping 50 to 100 "members" on the same page is next to impossible, not to mention having to reorganize for every deal, or if a member-owner dies or drops out. Inc. shareholders not so much, and shares can be issued and passed on to heirs. Much more control by the Board and Officers. The focus will be on distressed commercial buildings and other properties, including companies approaching BK or bank takeover. Can't justify an LLC long-term, under these conditions. Also, a corporation can own an LLC, but the reverse is illegal.

But what if you're doing business out of state but INC in Delaware, and you have multiple investors, up to 100 or so? Doesn't an S. corp. and issuing of shares make more sense long term? A corporation can own an LLC, but not the reverse.

Which is best for buying & selling and/or flipping commercial real estate long-term, LLC or INC?

Anyone here have experience in flipping commercial buildings?
