You are looking for locals who have done what you are proposing and give you guidance. 

Go to internet search for a local chapter of Real Estate Investors Association (REIA pronounced REE uh).

search for National REIA then search your area.

Nate, Usually the Fed wants you to pay tax on capital gains. When you liquidate the asset. Capital gains is the increase over your basis (in essence, what you paid for the investment [basis] and how much you profited upon sale).

The money you pay toward you bills, has usually already been taxed somewhere along the line.

ALWAYS check with you tax pro. EVERY investor's circumstances are unique.

Which taxing agency is holding the lien? Are they negotiable? (probably not-they've got the 'high-ground')

Nick,
I recommend "Certified Tax Coaches" and "Certified Tax Planners".
Do an internet search for those designations "near me".
They have tax-saving strategies that most tax preparers have never even heard of.
PLUS they specialize in real estate.

What is the ethical thing to do?

Do you need to buy out your JV?

Communicate with your JV, perhaps they will be glad to be out from under the loan, which ties up their borrowing capacity.

Oh, and in AZ--wear sunscreen!

Go to the American Institute of Certified Tax Planners. 
Look in your local area for a Certified Tax Coach.

These folks should satisfy your criteria. They specialize in tax saving strategies using real-estate as the primary vehicle for minimizing tax and keeping more money in your investments and scaling your operation.
