Thanks for everyone's input, it has been very helpful. We are talking to an attorney currently and learning a lot. We are learning to try to stay away from securities. They can be messy and are expensive. The attorney said as long as we only have one to two investors, it is possible to avoid securities and have a partnership. They  did say it s very tricky to avoid securities even with partnerships. We are currently looking at writing writing a document for private lenders so they can just lend us money and have no other part in the process.
