Hey Chad: I’m a Missouri Attorney. This is not legal advise and does not create an attorney client relationship. My advice is to find a good real estate attorney and have him/her review the closing docs and proceed with sending demand letters to the seller and the title company. If they don’t response within ten days, file suit. Who is the record title holder? Did the title company convey the property from the seller and then back to the seller? Anyway, I hope this helps. Structuring your rental portfolio with limited liability companies is much different than purchasing an insurance policy. For instance, let’s say something bad occurs at a rental property (i.e. wrongful death, fire, bad drug deal...). If your limited liability company is formed properly it takes the hit, thus protecting your personal assets and assets held by your other companies. Whereas, insurance is less predictable. You must make you have the proper coverage and for the proper amount. Regardless, you are personally liable until your insurance company pays the tap. I would much rather depend upon a limited liability company that I created than an insurance company created to collect premiums and deny coverage.

The above is true, but a LL/T trial should only last 30 minutes or less with one star witness.

Alex, I would recommend retaining an attorney on this transaction. Your situation contains two issues and requires analysis with regard to the company’s operating agreement in addition to the title transfer. Will you receive anything for your interest in the property before your partner takes title? In full disclosure, I’m a Missouri real estate attorney. John

My real name is John Spurlock. I just finished law school and real estate is my major pastime. I am from Squires, Missouri, however, I have lived in Naples, Florida for the past three years. My wife and I plan on moving back to Missouri next month. Most of my experience in real estate is on the legal side i.e. analyzing quality of title, but it proved to be an excellent way to meet investors and others that love real estate. My ultimate goal is to incorporate real estate into my law practice and ramp-up my personal portfolio.
