@Amy Wan and @Cody Weiss Thank you both for the insight. It looks like it is both an opportunity and minefield.  SEC is still finalizing the rules. @Amy Wan is right. For small projects and so for the vast majority of sophisticated investors, the DLT is years away.

@Cody Weiss @Yonah Weiss and others STO enthusiasts

I am struggling to find if blockchain is suitable for small RE projects. If I go the broker/dealers, they only talk about projects north of $10M. I see their point too. Because the costs are so high with respect to investments under $1.0M. I wonder, if I can do it myself!

I need to talk to experts. I have project in RE. It is quad and price is $350K earning $3,800 a month. I want to explore if I can use this property to raise funds, economically under Reg D 506(b) using custom STO token and pay the Bank.

Any ideas! Is it possible for this size of project?

Please share your thoughts.

Let me share a use case and please comment pros and cons:
I have 4 plex in FL. The concept is to raise funds and pay-off the Bank loan. Use Reg. CF to raise funds to pay off the bank loan. The investors will get a 4% on a monthly basis and 50% of ownership and so 50% of appreciation when the property is sold.
