@Michael Ealy Thank you and I'm clear on your point. Regarding IRR pushing up to 30%, are you seeing more & more of that especially past the 23-25% mark?

@Bryan Hancock Yes, I do have skin in the deal & bringing in an investor to sub-syndicate on my end of the GP to round out the raise.

@Adrian C. I'll shoot you a PM for the SEC attorney referral since I haven't settled on one yet and still interviewing. And yes, the sub-syndication is the structure that I'm thinking through and figuring out the mechanics of how to make it align within the larger structure.

@Don Konipol @Will Barnard Thank you both for your contributions. For clarity, as a GP, I wouldn't be an agent nor a dealer in my position raising for the deal and remaining in the deal after close.

@Mike Dymski Sub-syndicating a deal is essentially what I was getting at...just didn't call it as such. Sounds a little more complicated to sub-syndicate with my JV and wrap that into the larger syndication but I'm sure it's all in the mechanics between me & the investor.

@Scott Mac Thanks Scott. Are you saying that the institutional equity partner could call the shots even on additional equity partners brought in to make the final raise? 

I have spoken with 1 syndication attorney that I met on BP, but always interested in being referred to others.

I have an interesting deal on the table to join a pretty significant multifamily syndication as a co-GP for 1,000+ units at a price tag of $130m+. Financing is in place as is an institutional equity partner. My position would be to raise the remaining equity of roughly $10-15m, which is about 12% of the total deal size. In exchange, I would come in as co-GP and get a small share in the sponsor promote in the equity structure in addition to a small share in the fee structure on the acquisition side.

I have a couple of investors where most, if not all, of the raise could come from. However, I'm thinking through how to position a possible JV with my investor so that I get in on his side of the LP deal and essentially get a larger share in the equity structure outside of the sponsor promote, OR is this asking for too much since the LP is bringing all of the capital to the table?

Also, in a syndication of this size, what are best practices to ensure that my small interest is not squeezed out in a capital call?

I guess my interest in a JV with the LP is to add more protection for my small share in the event of a capital call.
