Thanks again guys. The seller wants all his money out of his investments. So 1031 does not seem to be an option. Question, why would it be beneficial to defer the capital gain? Your still going to pay the same amount, correct? I ask that question because I am trying to fully understand the seller's position.

Thanks guys. I have a seller that has a large portfolio that I want to purchase. I need the seller to carry a 2nd mortgage. I am trying to create a scenario where he has less capital gain or defers his gain and still create a win-win for both parties involved. You guys have any ideas?

Is there a way for a seller and I to set up a land trust to hold the properties I want to purchase from him and he be able to avoid his capital gain tax?
