thank you for the feedback.  I think you're right - the key item is Securities laws.  My sense is to keep (my own) 1031 exchange separate from syndication.

@Peter MacKercher - thank you for the quick reply as well as the excellent advice.  I've done several 1031 exchanges previously and know how they work (haven't screwed one up yet....).  

My question is specific to syndication.  There is no issue in acquiring a commercial property as replacement for residential property.  The concern I have is regarding (preferred) tax treatment as my syndicator equity/contribution will be via 1031 proceeds while investor contributions will not be.  Just curious if 

a) this is legal

b) any special accounting or tax treatment required

I have a SFH with equity that I will be selling and 1031 exchanging for a commercial/mult-family property. Can I legally syndicate the new acquisition, and if so, will this just create a tax accounting nightmare?
