Joint Venture Agreement Clause needed

Hi BP Community,

I'm entering into a JV to purchase and rehab a property where I will be the operating partner and the 2nd party will be the capital partner.

We're working on JV agreement and we need a clause in there that would cover his capital investment in the rare event that the property does not sell for more than what he has invested. (ie: he has 100k in and it ends up selling for 80k.)
