Syndication attorney for foreign property?

Could anyone point me in the right direction?

There are two markets i'd like to invest in with the syndication route.

One is the midwest where i already have a large personal portfolio.

Second, i'd like to invest in hotels in east asia. Does this still fall under SEC jurisdiction when soliciting private capital from friends / acquaintances of friends?
