Time-Stamp or Seller Receiving Counter

My agent confirmed She did Not receive Counter Offer by deadline. Two hrs later I receive the Counter offer. I Decline Offer. She said I had to Accept because offer was Time-Stamped But she didn’t see it in her email. She said Buyer will sue me. I say there wasn’t a contract as I did Not receive the Counter in time.
