@Joanna Eldridge Buyer's broker agreements are common, though I don't always require one if my relationship with the buyer is solid - but it is considered a best practice.The reason they're used is that agents like me will invest anywhere from dozens to hundreds of hours working with a buyer, with zero compensation unless they buy a property.I have seen several cases where after investing that kind of time, the buyer suddenly "remembers" that Aunt Millie has a real estate license (or more likely is pressured by other family members), and the agent who did all the work is faced with a choice between walking away from the income he rightfully earned or going after Aunt Mille in a "procuring cause" dispute.The buyer's broker agreement at least gives the client an excuse to tell the other family members that they can't use Aunt Millie - and it protects the agent who has actually done all the work.

If you are asking $3M for the business and only have $50k of inventory on hand, then it probably doesn't make sense to separate it in the negotiation.Also, since you are selling to your partner, it may make a difference to him if he is going out of pocket to buy you out or if the business entity is buying and retiring your shares.It would seem to me that the cost of procuring inventory probably doesn't come into play.

Explain to them that breaking a lease is not acceptable but you would be willing to work with them in return for allowing the property to be shown and that they will help get the property in tip top shape to procure a sale.

@George Allen I build new construction in Oregon my last Lake O house I built I sold for 650k which is the very bottom of our marketI know they are here but I have just not been a party to a transasaction that they were the procuring or selling broker.. does not mean they are not big time.. just me.. and my 200 escrows a year.. have not seen them on one hud...
