LLC Member Amendment

Nick Furukawa
Posted

My business partners and I are currently looking to change one of our members in our LLC and were unsure of the necessary processes. We saw on the Secretary of State's website that it is a $1 filing fee, but did not know if there is anything additional we need to do. Any advice that you have would be much appreciated.

Hi Nick,

The solution to this is dependent on the State that the LLC was created in. It may require alterations that need to be made with the Secretary of State, and it will require alterations to the Operating Agreement to remove the Member. It is not uncommon for LLC Members who are making alterations to forget to do both of these things.
