Make sure it includes everything about how your business will run, what each persons responsibilities are, who will contribute what, how profits will be divided etc.

@Sean Brennan if you don't want the CA fees then you may have problems, I haven't tried toeing the line and you may be able to skate if your partners in PA can do most of the managing or at least you can argue they do, this is too complex for an online forum I think I'd say get a pro to help you out.
