NOTE: I am not an attorney or accountant so this is just my personal opinion.Additionally, if you are talking about single family or small multifamily, a big expense (i.e. roof or HVAC) at one will likely need to be pulled from the other, so then you are back into a similar boat of having to take a distribution from one property to the owner, then contribution to the other property, thereby likely causing a taxable event again.

If something happens and the lawsuit going over the liabiilty limits of your existing policy (e.g. landlord policy, auto policy, personal liability, your personal residence, a boat if you have one..., etc.), then the umbrella policy kicks in and provides that additional amount of coverage.
