If I understand what I’m reading here about MICHIGAN law correctly: 1) the court can charge my LLC with paying the damages awarded a plaintiff. 2) the plaintiff is only entitled to distributions from the LLC. 3) this does not deprive me of any exemptions the LLC enjoys. 4) the plaintiff does not gain membership to my LLC or deprive me of membership and my rights therein. 5) the charging order is a lien that cannot be foreclosed on. 6) this is the exclusive means a plaintiff has of satisfying a judgement against my LLC.Sounds like the same protection you would enjoy from Wyoming.

Others might be sale of another property, appraisal at or above the purchase price, specified repairs being completed prior to closing, etc.Lucky for the wholesaler (or anybody else who defaults on a valid, enforceable contract) that the liquidated damages clause LIMITS damages that can be awarded to the seller.

Usually, it's best to just get that quote from them right there on the spot, that way you have your numbers but then, if you're planning to award them the job, send them the price they gave you and ask them to put it in a formal quote so you can see everything they are including in the price.

Seth is correct in stating that the seller could sue the buyer for the cost they incurred, agent fees, and if they sell for lower, then the buyer could have to cover the difference if awarded in court.
