On the other hand, if you are bringing passive investors on a deal and giving them a piece of equity, you're essentially selling a security and in a lot of cases translates into a syndication which is very pricey and may not be worth the effort in some cases.You have to reach  out to an attorney to discuss various legal structures that would work best in your case.
