I've read through CA taxation code, section 3172, and it seems that the only encumberances that would remain attached to the title would be government encumberances, judgement liens, and mechanics liens.

The irs lien would attach to the property and remain, regardless of which party had the lien, since they were an owner.

I typically do not like gas stations attached to other retail units for this reason. 

Without the ability to perform there is nothing you can attach to that contract to enforce that contract.Search BP, look for any wholesaler who has not had the ability to perform who had a contract enforced in any court, you can search, but you won't find one!
