I'll touch on a couple of your questions, and leave the rest to others who likely know more about those things...First, I'm not a tax professional, nor am I an attorney, so take everything I say with that in mind...I'm not sure the relevance of the capital gains discussion with putting your own money in the company's bank account, but keep in mind that you risk losing the protection your company offers you if you co-mingle your personal funds with your business funds.

In my situation, I am investing in Buy & Hold properties (buying cashflowing deals with the intent to sell one day and 1031 up when appreciation looks good enough), so for my investment partner and I an LLC makes sense for now.
