COMPLIANCE WITH LAW: The Tenant(s) agrees that during the term of the Agreement, to promptly comply with any present and future laws, ordinances, orders, rules, regulations, and requirements of the Federal, State, County, City, and Municipal government or any of their departments, bureaus, boards, commissions and officials thereof with respect to the premises, or the use or occupancy thereof, whether said compliance shall be ordered or directed to or against the Tenant(s), the Landlord, or both.

It would be a municipality or county official. 

If so, you can't issue them the required 60-day notice to vacant until you're officially the owner. 

In Texas, evictions are heard by the Justice of the Peace who are elected officials that are not necessarily bound by precedent. 

I'm speaking for myself, not any sort of official company opinion.

You could both have an "official" contribution of 40K on your books and Partner B would have an additional loan to the company of 10K (with interest if you choose).

I've been reaching out to CPA's and a couple lawyers but not much traction sense I'm officially not at the table for the properties in the trust.

That is not an official tax document and has nothing to do with taxes.You should list the facts about the tenant just like you would like it if a landlord was doing a verification for you. 

Building anything in Fremont CA is currently a nightmare and every interaction with a city official is unpleasant to say the least!

Generally speaking, I would post the proper notices according to state law and then start the clock ticking until you can officially treat it as abandoned.
