As far as the issue you might have where you may be using language in a contingency in your contract but where the contract continues regardless what happens, you need to review that with council then because that isn't really a "contingency".

If the first date [21 days after tenant vacated] always resulted in accelerated "expiration", then the language in the paragraph would not make sense.I acknowledge your answer, but I would appreciate if you could corroborate your interpretation with an example (with or without early termination) where the 60 day rule would come into effect using an alternate definition of "expiration", or with case law.

If either doesn't pan out -- either the 1B deal falls though or the permits cannot be obtained -- they invoke the contingency and walk.Now, if the contract had express language concerning the settlement date being pushed back to allow for buyer to satisfy either of those conditions, that would change my opinion completely.

The closing agent has no responsibility in this.....they simply close the transaction as per the contract language and written agreements provided by the parties, they don’t go investigating/verifying such things.
