They have failed to renew my entities with the Secretaries of State multiple times, have billed me wrong amounts, and GREATEST OF ALL, have cost my business ~$50K in cumulative TAX PENALTIES due to negligence in filing for a tax extension, failing to walk me through my tax filings and needed payments, and failing to file an abatement promptly.

Sounds like the person knew what was going on with their credit report as they have filed reports in the past. 

If the seller files for bankruptcy, that will involve you in a legal proceeding.

I do sole prop schedule C, as it turns out (for me) all the doing around with corps, filings and liabilities I was just wasting time and money.

The forms are online, and it costs $100 per filing.

However, rental losses could be limited based on AGI if you file jointly.
