My starting questions so far are* If zoning allows multi-family, would I need any zoning approvals for a conversion?

The issue is the use of capital to buy a multi family for all cash only to receive a cap rate of 5.3%.  

Negotiation tip #47, make it as simple as possible for the other party to accept your terms.

If seller financing is the route you go, you might consider getting creative with the structure to make it work for both parties.
