Back to partners and borrowing, states have requirements of capital contributions as well as risk aspects to the distribution of profits, you can agree to a 50/50 split, but you can get into other matters, law suits, liabilities, inheritance or bankruptcy matters where the liquidation of the company may not be on a 50'50 basis.
